Welcome to Total Work ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Total Work platform, including our website at totalwork.app, our mobile applications, and all related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
To use many features of the Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and your business. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading.
Use of the Total Work platform requires a paid subscription. Subscription fees are based on the plan you select and the number of employees in your account. All fees are exclusive of applicable taxes, which you are responsible for paying.
By providing a payment method, you authorize us to charge the applicable subscription fees to that payment method. If we are unable to charge your payment method, we may suspend or terminate your access to the Services.
Subscription fees are billed in advance on either a monthly or annual basis, depending on the subscription term you select. All payments are non-refundable except as expressly stated in these Terms or as required by applicable law.
We strive to ensure that the Services are available 24/7. However, we do not guarantee that the Services will be available at all times. We may experience hardware, software, or other problems resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time without notice.
We may release updates to our platform that will be automatically installed. By using our Services, you consent to such automatic updates.
You retain all rights to any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials you upload, post, or otherwise make available through the Services ("User Content"). By uploading or posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your User Content for the purpose of providing and improving the Services.
You represent and warrant that: (1) you own the User Content or have the right to use and license it to us; and (2) the User Content does not violate the privacy rights, publicity rights, copyright rights, or other rights of any person.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes, subject to these Terms.
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or cancel your subscription through your account settings.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICES DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.
You agree to indemnify, defend, and hold harmless Total Work and our officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to, or use of, the Services shall be instituted in a state or federal court in Delaware, and you agree to submit to the personal jurisdiction of such courts.
We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
